Terms of Service

1. Who we are

TutorlyAI is an AI-powered study assistant that helps you turn research papers and similar documents into structured study materials—such as section breakdowns, key definitions, quizzes, flashcards, concept maps, and tutor chat grounded in your uploaded documents.

References to “we,” “us,” or “our” mean the operator of TutorlyAI. References to “you” mean the individual using the Service.

2. Eligibility

You must be at least 16 years old (or the minimum age of digital consent in your country, if higher) to use the Service. By using TutorlyAI, you represent that you meet this requirement and that the information you provide is accurate.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

To use most features, you must create an account and provide a name, email address, and password. You are responsible for:

• Keeping your login credentials confidential
• All activity that occurs under your account
• Promptly notifying us if you suspect unauthorized access

You may delete your account from account settings. Deletion is permanent and removes associated documents, generated study materials, and usage history, subject to limited retention described in our Privacy Policy.

4. The Service

TutorlyAI may allow you to upload documents (such as research PDFs) and generate study aids using artificial intelligence. Features may include paper breakdowns, definitions, quizzes, flashcards, concept linking, chat about your documents, and related tools.

The Service is provided on an “as available” basis. Features may change, improve, or be discontinued as we iterate—especially while TutorlyAI is in beta. We do not guarantee uninterrupted or error-free operation.

5. Your content

You retain ownership of documents and other content you upload (“Your Content”). By uploading Content, you grant us a limited license to host, process, transmit, and display it solely as needed to operate and improve the Service for you—including sending relevant portions to AI providers to generate study materials and responses.

You represent and warrant that:

• You have the rights needed to upload and use Your Content with the Service
• Your Content does not infringe others’ intellectual property, privacy, or other rights
• Your Content does not contain malware or material that is illegal to possess or distribute

You are solely responsible for Your Content and for how you use outputs generated from it.

6. AI-generated outputs

Outputs such as summaries, definitions, quizzes, explanations, and chat replies are generated by AI models and may be incomplete, inaccurate, or misleading. TutorlyAI is a study aid, not a substitute for reading source material, academic judgment, professional advice, or institutional requirements.

You should verify important information against the original document and other reliable sources. We do not guarantee that outputs are original, correct, or suitable for any particular purpose—including exams, publications, or graded coursework.

7. Acceptable use

You agree not to:

• Use the Service for unlawful purposes or in violation of academic integrity rules that apply to you
• Attempt to reverse engineer, scrape, overload, or disrupt the Service or its infrastructure
• Bypass usage limits, billing, authentication, or security controls
• Upload content you are not permitted to share, including others’ confidential or proprietary materials without authorization
• Use the Service to generate or distribute harmful, abusive, or illegal material
• Misrepresent AI-generated content as solely human-authored where disclosure is required
• Resell, sublicense, or provide the Service to third parties without our permission

We may suspend or terminate accounts that violate these Terms or create risk for other users or the Service.

8. Subscriptions, credits, and payments

TutorlyAI may offer free and paid plans, as well as purchasable AI credits. Prices, included allowances, and features are described in the Service and may change prospectively.

• Paid subscriptions renew according to the plan you select until canceled
• Payments are processed by Stripe or another payment provider; their terms also apply to payment processing
• Credits and unused subscription time are generally non-refundable except where required by law
• Deleting your account cancels paid subscriptions and forfeits remaining credits, as described in the product

If a payment fails, we may limit access to paid features until billing is resolved.

9. Intellectual property

The Service—including software, branding, design, and documentation—is owned by us or our licensors and is protected by intellectual property laws. These Terms do not transfer ownership of the Service to you.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal educational and research purposes.

10. Third-party services

The Service relies on third parties such as hosting, authentication, storage, analytics, payment, and AI model providers. Your use of the Service may involve processing by those providers as described in our Privacy Policy. We are not responsible for third-party services we do not control, except as required by law.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service or any AI output will meet your requirements, be accurate, secure, or available without interruption.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, SUPPLIERS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (US $50).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

13. Indemnity

You agree to defend, indemnify, and hold us harmless from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service at any time and may delete your account in settings. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service.

Provisions that by their nature should survive—including intellectual property, disclaimers, limitations of liability, and indemnity—will survive termination.

15. Changes

We may update these Terms from time to time. When we make material changes, we will update the effective date and may provide additional notice in the Service or by email. Continued use after changes become effective constitutes acceptance of the updated Terms.

16. General

These Terms are the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject. If a provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

These Terms are governed by the laws applicable to the operator of TutorlyAI, without regard to conflict-of-law principles, except where mandatory consumer protections in your country of residence require otherwise.
